Governing law clause
Specifies which jurisdiction's laws apply to interpreting and enforcing the contract.
This clause removes ambiguity about which state or country's contract law governs the agreement — relevant the moment there's a dispute, since contract law varies meaningfully by jurisdiction on things like non-compete enforceability, liability caps, and interest on late payments. It's usually paired with (but distinct from) a venue clause specifying where a lawsuit must physically be filed.

Red flags
- A governing law jurisdiction with no real connection to either party, chosen purely because it favors one side's typical position
- Governing law and venue clauses that point to different, inconsistent jurisdictions
- No governing law specified at all, leaving it to be litigated as a threshold question if a dispute ever arises
