Confidentiality clause (NDA)

A contract provision — sometimes a standalone non-disclosure agreement — restricting how each party may use or share the other's confidential information.

Example

An agency's MSA includes a confidentiality clause preventing it from disclosing a client's unreleased product roadmap, shared during a strategy engagement, to any third party.

Why it matters for agencies

This clause is unrelated to scope management directly, but it's one of the standard components of the master service agreements that also house scope-defining language (exclusions, revision limits, payment terms) — understanding what belongs in the MSA versus the SOW helps agencies keep both documents scoped correctly.
